These Terms of Service ("Terms") govern your access to and use of the website www.signaturesupportco.com (the "Site") and the services provided by Signature Support Co., a California limited liability company ("Signature Support," "we," "us," or "our"). By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Site or services.

1. ACCEPTANCE OF TERMS

By accessing or using our Site or services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICES

Signature Support Co. provides fractional remote executive assistant services, including administrative and office operations, bookkeeping and financial coordination, and event planning and coordination. Our services are provided on a monthly retainer basis or project-based engagement as agreed upon in a separate Service Agreement.

3. SERVICE AGREEMENTS

Specific terms of service delivery, including scope of work, pricing, payment terms, and service levels, will be set forth in a separate Service Agreement between you and Signature Support Co. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall control with respect to the specific services covered by that agreement.

4. USE OF SITE

License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Site for your personal or internal business purposes.

Prohibited Uses

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to any portion of the Site or any systems or networks
Interfere with or disrupt the Site or servers or networks connected to the Site
Use any automated means to access the Site or collect information from the Site
Reproduce, distribute, modify, create derivative works of, or exploit any content from the Site without our express written permission
Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
Use the Site to transmit any viruses, malware, or other malicious code
Engage in any activity that could harm our reputation or business interests

5. INTELLECTUAL PROPERTY RIGHTS

All content on the Site, including but not limited to text, graphics, logos, images, videos, software, and other materials (collectively, "Content"), is the property of Signature Support Co. or its licensors and is protected by copyright, trademark, and other intellectual property laws. Our trademarks, service marks, and logos (collectively, "Marks") may not be used without our prior written consent.

6. USER CONTENT

If you submit any content, feedback, suggestions, or materials to us through the Site or in connection with our services ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute such User Content for any purpose related to our business operations. You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not violate any third-party rights or applicable laws.

7. CONFIDENTIALITY

In the course of providing our services, we may have access to confidential and proprietary information belonging to you. We agree to maintain the confidentiality of such information and use it solely for the purpose of providing our services. Specific confidentiality obligations will be set forth in a separate Non-Disclosure Agreement or Service Agreement.

8. PAYMENT TERMS

Payment terms for our services will be specified in your Service Agreement. Generally:

Monthly retainer fees are invoiced in advance on the first day of each month
Payment is due within 15 days of invoice date unless otherwise specified
Late payments may incur a late fee of 1.5% per month or the maximum rate permitted by law
All fees are non-refundable unless otherwise specified in the Service Agreement
We reserve the right to suspend services for non-payment

9. TERM AND TERMINATION

The term of our service relationship will be specified in your Service Agreement. Either party may terminate the Service Agreement as provided in that agreement. We reserve the right to suspend or terminate your access to the Site immediately, without notice, for any violation of these Terms or for any other reason in our sole discretion. Upon termination, all licenses granted herein will immediately terminate, and you must cease all use of the Site and our services.

10. DISCLAIMERS AND WARRANTIES

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Site will be uninterrupted, secure, or error-free
The results obtained from use of the Site or services will be accurate or reliable
Any errors in the Site will be corrected
The Site or servers are free of viruses or other harmful components

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SIGNATURE SUPPORT CO., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Signature Support Co., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Site or services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any User Content you submit.

13. DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Jurisdiction and Venue

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the federal or state courts located in Orange County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Informal Resolution

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@signaturesupportco.com. We will attempt to resolve the dispute informally within 30 days.

14. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site with a new "Last Updated" date. Your continued use of the Site or services after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

15. PRIVACY

Your use of the Site and services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

16. THIRD-PARTY SERVICES

Our Site may contain links to third-party websites or services that are not owned or controlled by Signature Support Co. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party websites or services.

17. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any Service Agreement, constitute the entire agreement between you and Signature Support Co. regarding your use of the Site and services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

20. WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Signature Support Co.

21. ASSIGNMENT

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.
